so that viewers can click through from your site to
ours. If they purchase we pay a commission of up to
10%. The more strongly you link the more opportunities
you have of earning money. We track where the viewers
come from and we pay you with commision fees if the
viewer came from your site.
If you own a website, YOU CAN APPLY!
To join the Holborne Australasia Affiliate Program you
submit the application form below. We will consider
your application and if we feel your site is eligible
we will approve the membership. We email you to say
if you have been accepted or not. We may reject an application
at our sole discretion, without having to give a reason.
Once accepted into our affiliate program, you can have
any number of links that you want to the homepage of
our site. Graphics will be provided from time to time
by www.holborne.com.au
for linking purposes.
We will pay you commissions on product sales to third
parties. For a product sale to be eligible to earn a
commission fee, the customer must follow a Special Link
from your site to our site, select and purchase the
product using our automated ordering system, accept
delivery of the product at the shipping destination,
and remit full payment to us. The percentage commission
payable will be at the sole discretion of www.holborne.com.au
and is currently 10%.
We will pay you on a quarterly basis. We will send you
a cheque for the commissions your site has generated
for the calender quarter within 30 days of the end of
that quarter. However, if the commission fees payable
to you for any calendar quarter are less than $75.00,
we will hold those commissions until the total amount
due is at least $75.00 or (if earlier) until this agreement
is terminated. If a product that generated a commission
fee is returned by the customer, we will deduct the
corresponding commission fee from your next quarterly
payment. If there is no subsequent payment, we will
send you a bill for the commission.
Customers who buy products through this program will
be deemed to be customers of www.holborne.com.au.
As an affiliate, you have no rights to access any customer
information whatsoever.
We grant you a nonexclusive, revocable right to use
our logos and trademarks for linking purposes. You may
not modify the links in any way without the permission
of www.holborne.com.au. We welcome suggestions for new
link graphics from our associates, and interested associates
may e-mail their suggestions to us for possible appoval.
This agreement can be terminated by either party at
any time by giving written notification. www.holborne.com.au
may terminate this agreement at any time at our discretion
for any reason we see fit. Upon the termination of this
agreement for any reason will pay you any outstanding
commission fees for orders placed during the term of
this agreement. We may withhold your final payment for
a reasonable time to ensure that the correct amount
is paid, just in case there is a returned product from
a customer.
You acknowledge that we may modify this agreement at
any time at our sole discretion by posting such modification
notice on our site. YOUR CONTINUED PARTICIPATION IN
THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE
OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING
ACCEPTANCE OF THE CHANGE.
Upon acceptance of this agreement the affiliate acknowledges
and agrees that www.holborne.com.au
shall in no way be responsible for the content of the
affiliates site.
You and we are independent contractors, and nothing
in this agreement will create any partnership, joint
venture, agency, franchise, sales representative, or
employment relationship between the parties. You will
have no authority to make or accept any offers or representations
on our behalf. You will not make any statement, whether
on your site or otherwise, that reasonably would contradict
anything in this Section.
The associate hereby indemnifies and shall keep indemnified
www.holborne.com.au,
it's related bodies, servants, agents and employees
against all actions, claims, proceedings, demands, liabilities,
costs, damages, losses, and expenses which may in any
way incur or become liable for or suffer by any reason
arising in connection with this agreement or the program.
We make no representation that the operation of our
site will be uninterrupted or error-free, and we will
not be liable for the consequences of any interruptions
or errors.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND
AGREE TO ALL ITS TERMS AND CONDITIONS. YOU HAVE INDEPENDENTLY
EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM
AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE,
OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
